Reorganised shareholding in Unilever South Africa & Israel
In the re-organised shareholding, which is effective from the beginning of October 2007, Unilever will have a majority shareholding in a single South African Unilever business and will fully own the Unilever Israel Foods and Home and Personal Care (HPC) businesses. Remgro will nowhave a shareholding in the combined South African Foods, Ice Cream and HPC business and continue to contribute to the Unilever SA board. This change in shareholding structure will not impact employees.
- The relationship between Unilever and Remgro goes back to theacquisition of Bestfoods. In April 2002 Unilever entered into a majority shareholder relationship with Remgro for the Foods businesses in South Africa and Israel excluding Ice Cream.
- Under the old structure the ownership was:
Unilever | Remgro | |
|---|---|---|
| Food South Africa | 59% | 41% |
| HPC South Africa | 100% | |
Foods Israel | 59% | 41% |
| HPC Israel | 100% |
Under the new structure the ownership is:
Unilever | Remgro | |
|---|---|---|
| South Africa (One Unilever) | 74.25% | 25.75% |
| Israel (One Unilever) | 100% |
The 74.25% / 25.75% reflects‘a fair value’ swap of the relevant shareholdings in the various businesses.
